Carlo Palasciano Villamagna took office as new Enel Russia general director

Moscow, March 13th, 2015 – Today, Carlo Palasciano Villamagna officially took office as new General Director of Enel Russia. In this role he succeeds to Enrico Viale who has been earlier appointed as Head of Global Generation of the Enel Group.

Enel Russia Board of Directors voted in favour of Carlo Palasciano Villamagna as the company’s new General Director on December 10th, 2014, with two conditions precedent pending upon his appointment – his stepping down from Enel Russia Internal Audit Commission and the obtaining of his work permit. Carlo Palasciano Villamagna’s membership in the company’s Internal Audit Commission was terminated following Enel Russia General Shareholder’s Meeting on February 11th, 2015. Mr. Palasciano Villamagna received his work permit on March 3rd, 2015 and today he was officially registered in the Unified State Register of Legal Entities as General Director of Enel Russia.

Carlo Palasciano Villamagna was born in 1959 in Rome. Before heading Enel business in Russia, Carlo Palasciano Villamagna has been Head of Enel Tax Affairs for over 10 years. He served as CEO of Enel.factor and as a member of Board of Directors at various Enel Group companies, he was also a member of Enel Russia’s Internal Audit Commission since 2008 and headed it for the last three years. Before Mr.Palasciano Villamagna joined Enel in 1999 he held several managerial positions at Aeroporti di Roma SpA, Associazione Bancaria and Finmeccanica SpA. A lawyer by training (he graduated from La Sapienza University in 1983 with a degree in Law), he pursued his education in the sphere of finance and in 1990 successfully passed a postgraduate course of specialization in International Taxation.

An Enel Group subsidiary, PJSC Enel Russia operates the following power plants: Konakovskaya GRES, Nevinnomysskaya GRES, Sredneuralskaya GRES and Reftinskaya GRES. The company’s total gross installed electrical capacity is 9,428.7 MW (equivalent to 8,878.4 MW net installed capacity) and thermal capacity is 2.382 Gcal/h. PJSC Enel Russia’s authorised capital is 35,371,898,370 roubles, which is divided into ordinary shares with a par value of 1 rouble. The Enel Investment Holding B.V. share in the company’s authorised capital is 56.43%, PFR Partners Fund I Limited’s share is 19.03%, Prosperity Capital Management Limited’s share is 8.23%, VTB Bank’s share is 3.87% and other minority shareholders’ share is 12.44%. PJSC Enel Russia shares are listed in Level 1 MICEX quotation list. The company was established in Yekaterinburg on October 27th, 2004 as OJSC OGK-5. On July 7th, 2009 by the resolution of Annual General Shareholders’ Meeting the company was renamed OJSC Enel OGK-5 and on August 8th, 2014 the Federal Tax Service registered the new version of the company’s charter with the name OJSC Enel Russia. On June 25th, 2015 the company changed its legal type and was renamed PJSC Enel Russia.
